Partial demerger of the subsidiary Compass in Mediobanca’s favour:

The minutes of the Board of Directors meeting held on the 22 February 2012 approved – in accordance
to art. 2505, par. 2 of the Italian Civil Code and art. 6 of the Article of Association – the partial
demerger of the subsidiary Compass in Mediobanca’s favour has been filed at the registered office of
the Company, at Borsa Italiana and may also be consulted on the Company web-site
www.mediobanca.com. This resolution has also been deposited and registered with Milan Company
Register today.
