Share buyback programme, with the aim of providing Mediobanca with a flexible strategic and operational instrument.

On 28 October 2023, the shareholders of Mediobanca gathered in Annual General Meeting approved a share buyback programme involving a total of up to 17,000,000 shares, equal to 2% of the company’s share capital. The buyback, which entailed an outlay of €197,959,090.60, was completed in February 2024. The shares acquired were cancelled in June 2024, with no reduction in the share capital.

On 28 October 2024, the shareholders of Mediobanca gathered in Annual General Meeting approved a share buyback and cancellation programme involving a total amount of approx. €385m. The deal has received authorization from the ECB.

The two buybacks described above represent the first two tranches in the share buyback programme included in the 2023-26 Strategic Plan “One Brand-One Culture”.

As at 2 July 2025, under the terms of the programme, Mediobanca had acquired a total of 24,146,245 shares, equal to 2.9% of the company’s share capital, for a total outlay of approx. 385m. As at the same date, Mediobanca’s share capital consisted of 833,279,689 shares, 806,365,092  of which shares in issue and 26,914,597 are treasury shares.On October 28, 2023, the Shareholders' Meeting approved a share buyback program for 17,000,000 shares, equal to 2% of the share capital, for a total consideration of €198 million. The program was completed in February 2024. The repurchased shares were cancelled in June 2024 without a reduction in share capital.

The Shareholders' Meeting of October 28, 2024, approved an additional share buyback and cancellation program. As of July 2, 2025, under this program, Mediobanca had repurchased a total of 24,146,245 shares, equal to 2.9% of the share capital, for a total consideration of approximately €385 million. At the end of July 2025, 20 million shares were cancelled.

As of September 16, Mediobanca's share capital consists of 813,279,689 shares, of which 806,534,267 are outstanding and 6,745,422 are treasury shares.
