Chairman of parties to the Mediobanca shareholders’ agreement

With reference to the shareholders’ agreement in respect of Mediobanca, notice is hereby given that, by the 30 September 2013 deadline, notice of intention to withdraw from the agreement taking effect from 31 December 2013 had been received from the following parties:

  • Groupama group, for a total of 42,430,160 shares (representing 4.93% of the company’s share capital);
  • Assicurazioni Generali group, for a total of 17,201,061 shares (representing 2% of the company’s share capital);
  • Italmobiliare, with respect to only 9,068,992 shares (representing 1.05% of the company’s share capital);
  • Marco Brunelli, for a total of 1,365,000 shares (representing 0.16% of the company’s share capital).

As a result of the foregoing, as from 1 January 2014, the aggregate percentage syndicated to the agreement will fall from its current level of 38.19% to 30.05% of the company’s share capital (cf. table below).

Accordingly, the Mediobanca shareholders’ agreement is automatically renewed for a further two years as of 1 January 2014 until 31 December 2015 by and between those parties that had not given notice of their withdrawal by the 30 September 2013 deadline.
