Strengthening of the partnership between Versalis (Eni) and Novamont in the green chemistry

Versalis (100% owned by Eni) and Novamont are strengthening their partnership to reinforce synergies in the ecological transition of green chemistry. The strengthening of the partnership combines the great technical and market skills of the two companies, and will accelerate the development of technologies, supply chains and improve competitiveness.

Novamont is a leading player in the bioplastics and bio-products sectors which operates through three main brands: Mater-Bi, Matrol-Bi and Celus-Bi. The company, 75% owned by Mater-Bi S.p.A. (held by NB Renaissance, Investitori Associati and other private investors) and 25% by Versalis, in 2020 generated revenues for €287m and an EBITDA of €54m. Novamont, together with Versalis, also owns Matrìca, the joint venture set up in 2011 between Versalis and Novamont at Porto Torres specialized in manufacturing of bioproducts from renewable sources (e.g. azelaic acid).

The transaction envisages the redefinition of the shareholder agreement that will also imply an increase of Versalis’ stake in Novamont from 25% to 35%.
The commitment to Matrìca has been reconfirmed and the aim is to enhance the company’s technology and production assets in order to fully develop its products, also within supply chains integrated with the two partners, by focusing on growth in the previously referenced markets.

Mediobanca acted as Eni financial advisor, providing support through all the phases of the process and in the negotiations with the counterparts.

The transaction confirms once again Mediobanca long-term strong relationship with Eni and its strong expertise in the energy transition and ESG topics.
