Financial advisor to Permira for the sale of Arcaplanet

Mediobanca acted as sell-side Financial Advisor to Permira in the sale of Arcaplanet

On June 25th 2021, Permira, the global private equity firm, announced the sale of Arcaplanet - the #1 pet care specialist brand in Italy - to Cinven, a leading pan-european Private Equity fund, for an undisclosed consideration. As part of the transaction, Cinven and Arcaplanet will jointly acquire Maxi Zoo Italia, the third largest pet care chain in the Italian market and a subsidiary of Fressnapf Group.

Headquartered in Italy, Arcaplanet was founded in 1995 by CEO, Michele Foppiani and is now a leading omnichannel pet care brand offering a broad range of premium products, including its own exclusive brands. Arcaplanet is now present in 17 regions across Italy, serving more than 1.3 million loyal customers through 380 stores and its directly managed online platform.

Under Permira’s ownership, Arcaplanet’s revenues and EBITDA respectively grew from €150m and €20m at entry to €400m and €65m expected for 2021.

Mediobanca had assisted Permira (buy side) at the time of the acquisition in 2016 and has been in constant dialogue with the fund ever since

The transaction marks the first exit by Permira from an Italian asset since 2016 and seals a large and extremely successful investment.

In the context of the sale, Mediobanca acted as financial advisor to Permira helping through all phases of the process, from the preparatory work to the final negotiations helping in balancing all stakeholders’ interests.

The deal confirms Mediobanca’s consolidated relationship with Permira and the strong positioning of the Mid Corporate & Sponsor Solutions team in the highly competitive market of M&A advisory for private equity funds in Italy.
