Disposal of 100% of Copernico share capital to IWG

Mediobanca acted as exclusive sell-side Financial Advisor to the shareholders of Copernico

On March 2nd, 2021, International Workplace Group Plc (“IWG” or the “Group”), through its Italian branch Regus Holding Italia (“Regus”) signed an agreement to acquire 100% of the shares of Copernico S.r.l. (“Copernico” or the “Company”).

Established in 2015 in Milan by P. Martani and a pool of investors including L. Ferragamo, Copernico is an Italian leading operator in the business of flexible offices, business centers and co-working spaces, mainly active in Milan and Rome (2019 revenues of ca. € 25m through 8 centers in Milan, 2 in Rome, 1 in Turin and 1 in Bruxelles), with a substantial pipeline of new openings all over the major Italian cities.

IWG is the global leader in the served offices industry, founded in 1989, it is listed on the London Stock Exchange with a market cap of ca. £3.7bn and is active in more than 110 countries through ca. 3,300 business centers and a workforce of ca. 10,000 employees.

The Transaction value has not been disclosed.

Mediobanca assisted Copernico’s shareholders in the preservation of the Company’s intrinsic value despite of the business has been deeply hit by the Covid-19 pandemic. IWG represents the most suitable party for Copernico in order to overcome this period, which is particularly complex for the entire flexible offices industry at global level. The signing of this transaction represents an outstanding achievement that further confirms the leading role and capabilities of Mediobanca in the Real Estate M&A space.
