1. Authorizations, required pursuant to Article 104(1) of Italian Legislative Decree no. 58/1998, as amended, to be granted to the Board of Directors of Mediobanca – Banca di Credito Finanziario S.p.A. (“Mediobanca”) to enable Mediobanca to: (i) execute the public voluntary exchange offer (the “Offer”) for 100% of the ordinary shares in Banca Generali S.p.A. announced on 28 April 2025; (ii) use the ordinary shares in Assicurazioni Generali S.p.A. held by Mediobanca as the consideration for the Offer; (iii) exercise the right, where considered appropriate, to waive all or part of the conditions precedent set for the Offer. Related and/or subsequent resolutions.

Pursuant to Regulation EU 2016/679 (hereinafter “GDPR Regulation” or “GDPR”) and the existing national regulation on data protection (“Privacy Law”), Mediobanca – Banca di Credito Finanziario S.p.A. with registered office in Milan, Piazzetta Enrico Cuccia 1 (the “Bank” or “the Controller”), as data controller, shall provide disclosure in relation to the use of personal data.

This page describes the management of Mediobanca’s web site since, after users’ access to the site, personal data of identified of identifiable persons may be processed. Subject to the specifications made with regard to navigation data, users are free to provide the personal data in the electronic application forms, or in the web site sections prepared for specific on demand services, for sending newsletters, informational material or other communications. Processing arrangements

Moreover, data subjects are entitled to request erasure, processing limit, consent withdrawal, data portability as well as to claim to the supervisory authority and to object in all cases, on legitimate

The Controller, including via authorized structures, will take charge of the user’s request and provide, without undue delay, the information related to the actions taken with regard to their
