The decision by shareholders of Banca Monte dei Paschi di Siena S.p.A. gathered in general meeting not to approve the merger project with Mediobanca S.p.A. means that, despite the votes cast in favour by the Appointed Representative at the general meeting of Mediobanca shareholders, the essential prerequisite for the merger to take place has not been met, hence the transaction cannot be implemented.
A general meeting of Mediobanca shareholders took place today, with participation exclusively via the Appointed Representative.
As ordinary business, the shareholders adopted a resolution to appoint Pasquina D’Onofrio as non-independent Director of the Bank. Her term of office will expire on the same date as that of the current Board of Directors. As Director she will be entitled to the annual compensation payable to Board members pro rata to the amount of time actually served.
With regard to item no. 1 on the agenda as extraordinary business, involving the “Merger by amalgamation of Mediobanca S.p.A. into Banca Monte dei Paschi di Siena S.p.A.; and related resolutions”, the Appointed Representative cast votes in favour of the plans to merge Mediobanca S.p.A. by amalgamation into Banca Monte dei Paschi di Siena S.p.A. However, the fact that the shareholders of Banca Monte dei Paschi di Siena S.p.A. voted against the merger project means that the essential prerequisite for the merger to take place has not been met, hence the merger cannot be implemented.
The minutes of the Annual General Meeting will be published within the terms set by law at the company’s head office and on the following websites: www.mediobanca.com (Governance/General Meetings/General Meeting 29 October 2026) and www.emarketstorage.com.
A summary of the voting at the AGM will also be published on Mediobanca’s website at www.mediobanca.com by the terms set.
