Annual General Meeting, 28 October 2025

Mediobanca hereby gives notice that it has today received a request from the Parent Company Banca Monte dei Paschi di Siena for a further item to be added to the agenda at the Annual General Meeting to be held on 28 October 2025, pursuant to Article 126-bis of Italian Legislative Decree 58/98, as follows:

“Engagement of audit firm to audit the financial statements and provide limited assurance for the Sustainability Reporting of Mediobanca – Banca di Credito Finanziario Società per Azioni (“Mediobanca”) to be granted to PriceWaterhouseCoopers S.p.A. for the 2026-34 nine-year period, subject to termination by mutual consent of the engagement for audit of the financial statements and limited assurance for the Sustainability Reporting of Mediobanca assigned to EY S.p.A. for 2022-30.”

Meetings of the Board of Directors and the Statutory Audit Committee will be called in the next few days to adopt the relevant resolutions.
