Consultation Agreement between Mediobanca Shareholders

The Parties to the Agreement expressed their profound sorrow on the passing of Angelo Casò and extended their thoughts and condolences to his family. Angelo Casò was an exemplary professional, whose name has been linked with that of Mediobanca for 40 years, first as Statutory Auditor, then as Chairman of the Statutory Audit Committee, as Director, and eventually, since 2010, as Chairman of parties to the agreement between Mediobanca shareholders.

Following the death of Angelo Casò, the Parties to the Agreement in general meeting unanimously appointed Alberto Pecci as their Charmain to replace him, until the Agreement's expiry on 31 December 2027.

In view of the ordinary general meeting of Mediobanca shareholders call to take place on 16 June 2025 to adopt a resolution regarding the public exchange offer for Banca Generali launched by the Bank, the Parties to the Agreement, gathered in general meeting, expressed strong appreciation for the deal’s industrial and financial rationale.
